On March 20, Beijing Dabeinong Technology Group Co., Ltd. (002385.SZ) issued a “Notice on the Change of Controlling Shareholder and Actual Controller and the Change of Equity.”

The announcement stated that the company’s original actual controller and chairman, Shao Genhuo, passed away on February 3, 2026, due to illness. Shao Genhuo directly held 21.58% of the company’s total share capital. During his lifetime, Shao Genhuo did not make a will and did not enter into a bequest support agreement with others. The 927,754,831 shares of the company held by Shao Genhuo, half of this property (i.e., 463,877,416 shares of Dabeinong stock) are considered his estate, which will be jointly inherited by his spouse, Mo Yun, and his minor daughter, Shao XX. Based on the division of community property and inheritance, Mo Yun inherits 695,816,123 shares, accounting for 16.18% of the company’s total share capital, while the minor daughter, Shao XX, inherits 231,938,708 shares, accounting for 5.39% of the company’s total share capital.

The announcement indicated that after this change in equity, Ms. Mo Yun and her minor daughter, Shao XX, as acting in concert, together hold 21.58% of the company’s shares. Since Mo Yun is the legal guardian of her minor daughter, the rights to the shares held by the minor daughter will be exercised by Ms. Mo Yun. Ms. Mo Yun holds a total of 927,754,831 voting rights, accounting for 21.58% of the total shares with voting rights, which is sufficient to have a significant impact on the company’s shareholder meeting resolutions. Therefore, after this change in equity, the controlling shareholder and actual controller of the company will change to Ms. Mo Yun.

The announcement stated that this change in equity will not have a significant adverse impact on the company’s governance structure, daily operations, sustainability, or independence.

According to a previous announcement by Dabeinong, Mo Yun was born in October 1972 and graduated from China Agricultural University with a doctoral degree. Mo Yun is the founder of the Dabeinong research and development system and established the company’s intellectual property protection system. She previously served as the director of the Beijing Dabeinong Agricultural Technology Research Institute.

Public information shows that Shao Genhuo was born in 1965, a member of the Communist Party of China, and holds a Ph.D. in agriculture from China Agricultural University. He taught at Beijing Agricultural College. The Dabeinong Group is an agricultural high-tech enterprise founded by agricultural scientists represented by Shao Genhuo. Since its establishment in 1993, the Dabeinong Group has developed over more than 30 years, with its industrial layout covering multiple fields such as crops, feed, breeding, and animal health, owning more than 300 production bases and over 300 subsidiaries. In 2010, the Dabeinong Group was listed on the Shenzhen Stock Exchange.
