Silver Lake adjusts Dell (NYSE: DELL) position, still holds 50.2M shares

Silver Lake-affiliated funds have filed an amendment to their Schedule 13D, disclosing an updated beneficial ownership of 50,240,830 Dell Technologies’ Class C shares, representing about 7.8% of total outstanding common stock and 14.0% of the combined voting power as of March 18, 2026. Over the past 60 days, Silver Lake entities sold approximately 1.35 million Class C shares and made non-cash distributions of another 496,202 Class C shares to equity holders, obtained through the conversion of Class B shares. This activity is viewed as a repositioning and distribution of an existing large stake rather than a new strategic move, with Dell’s multi-class voting structure retaining 10 votes per Class A and B share, and one vote per Class C share.
