Under the merger agreement, this transaction will be paid in Nakamoto common stock, with securities holders of BTC Inc and UTXO receiving 363,589,816 shares of Nakamoto common stock. Based on the closing price of $0.2951 on February 13, the total consideration for this deal is $107,295,354. The specific number of shares will be adjusted at the time of settlement according to customary procedures. The overall transaction is expected to be completed in the first quarter of 2026 and is subject to standard closing conditions. It is reported that BTC Inc is the organizer of The Bitcoin Conference and the parent company of Bitcoin Magazine.
